Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Proper Software, LLC ("Proper Software," "we," "our," or "us") governing your access to and use of the Pulse platform, including our websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
1. Eligibility and Accounts
You must be legally able to enter into this agreement. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity. You are responsible for maintaining account credentials, controlling access to your workspace, and all activity occurring under your account.
2. Service Scope
Pulse helps teams discover local businesses, process publicly available business and website information, run website audits, generate opportunity and module scoring insights, organize leads in pipelines, and draft outreach communications. Features can include integrations such as payment processors, email providers, and mapping or listing data providers.
3. Workspaces, Team Access, and Permissions
The workspace owner is responsible for user provisioning, role assignments, and access revocation. You are responsible for ensuring that team members use the Service in compliance with these Terms and applicable law.
4. Acceptable Use
You agree not to misuse the Service. Prohibited conduct includes: violating laws or regulations; infringing rights of others; probing, disrupting, or bypassing security controls; introducing malware; scraping the Service outside authorized interfaces; and sending unlawful, deceptive, abusive, or unsolicited communications.
5. Outreach and Communication Compliance
You are solely responsible for your outreach activity, including recipient targeting, message content, suppression handling, and legal compliance with anti-spam, telemarketing, privacy, and consumer protection laws. Any templates, scores, or recommendations are informational and do not constitute legal advice.
6. Customer Data and Your Rights
You retain ownership of data you submit or sync into the Service ("Customer Data"). You grant us a limited right to host, process, transmit, and analyze Customer Data solely to provide, secure, and improve the Service and to meet legal obligations. You represent that you have all rights and permissions required to provide Customer Data.
7. Third-Party Services and Integrations
The Service may rely on third-party services, including payment, email, and listing data providers. Your use of third-party services is governed by their applicable terms and privacy practices. We are not responsible for third-party systems, outages, policy changes, or actions outside our control.
8. Billing, Trials, and Subscriptions
Paid plans are subscription-based and may renew automatically unless cancelled before renewal. Pricing, usage limits, overage policies, and trial terms are presented in-product or at checkout. You authorize us and our payment processor to charge applicable fees, taxes, and adjustments. Failure to pay may result in suspension or restricted access.
9. Suspension and Termination
We may suspend or terminate access if reasonably necessary for security, legal compliance, non-payment, abuse prevention, or material breach of these Terms. You may stop using the Service at any time. Certain provisions survive termination, including payment obligations, disclaimers, limitation of liability, and indemnification.
10. Intellectual Property
We and our licensors own all rights in the Service, including software, models, workflows, documentation, and branding, except for Customer Data and third-party content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your valid subscription term.
11. Feedback
If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SCORE, INSIGHT, OR OUTPUT WILL BE COMPLETE, ACCURATE, OR FIT FOR YOUR USE CASE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPER SOFTWARE, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
14. Indemnification
You will defend, indemnify, and hold harmless Proper Software, LLC, its affiliates, and personnel from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your outreach activity, or your violation of these Terms or applicable law.
15. Changes to the Service or Terms
We may modify these Terms or the Service from time to time. If we make material changes, we will provide notice in-app, by email, or by updating the effective date above. Continued use after changes become effective constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws applicable to Proper Software, LLC, without regard to conflict of law principles. Venue for disputes will lie in courts with proper jurisdiction where Proper Software, LLC is organized or principally located, unless applicable law requires otherwise.
